10. Accredited Investor Requirement

Investment opportunities offered by the Company are available only to "accredited investors" as defined under Rule 501 of Regulation D of the Securities Act of 1933, as amended. To qualify as an accredited investor, an individual generally must meet one of the following criteria:

  • Net worth exceeding $1,000,000, excluding the value of one's primary residence (individually or jointly with a spouse or spousal equivalent); or
  • Income exceeding $200,000 in each of the two most recent years (or $300,000 jointly with a spouse or spousal equivalent), with a reasonable expectation of the same income level in the current year; or
  • Hold a valid Series 7, 65, or 82 license in good standing.

Entities may also qualify as accredited investors under certain conditions. Shorelight reserves the right to request verification of accredited investor status from any prospective investor.
